Agreement Overview
This Terms of Service Agreement ("Agreement") is entered into between:
- Service Provider: Websloop (operated by Habib Ahmed), a web development agency with headquarters in Hyderabad, Sindh, Pakistan
- Client: Any individual or business entity engaging Websloop's services
By submitting a project inquiry, signing a proposal, making a payment, or otherwise engaging our services, you ("Client") agree to be legally bound by these terms.

Acceptance of Terms
If you do not agree with any part of these terms, please do not use our services. Continued use of our services constitutes acceptance of any updates to these terms.
Definitions
- "Services": Web development, design, consulting, maintenance, and related services
- "Deliverables": Final website, code, designs, documentation as specified in proposal
- "Project Scope": Work detailed in signed proposal or statement of work
- "Launch Date": Date when website goes live on production server
Services Provided
Websloop offers the following professional web development services:
Core Services
- Custom Website Development: Bespoke websites built with HTML, CSS, JavaScript, PHP
- WordPress Development: Theme customization, plugin development, WooCommerce
- Shopify Development: Store setup, theme customization, app integration
- E-Commerce Solutions: Online stores with payment gateways, inventory management
- Website Redesign: Modernization of existing websites with improved UX/UI
- SEO Services: On-page optimization, technical SEO, keyword research
- Website Maintenance: Updates, backups, security monitoring, performance optimization
Service Inclusions
- Responsive design (mobile, tablet, desktop)
- Cross-browser compatibility (Chrome, Firefox, Safari, Edge)
- Basic SEO setup (meta tags, sitemaps, robots.txt)
- SSL certificate installation assistance
- Website launch and deployment
- 30-day post-launch bug fixes
- Basic training documentation
Service Exclusions (Unless Specified)
- Domain registration and hosting (client responsibility)
- Content writing and copywriting
- Professional photography or videography
- Ongoing content updates after launch
- Third-party plugin or theme licenses
- Email setup and configuration
Payment Terms
Payment Structure
Our standard payment structure for web development projects:
- Deposit (50%): Due upon proposal acceptance to initiate project
- Final Payment (50%): Due before website launch/delivery
- Monthly Retainers: Due on the 1st of each month (for ongoing services)
Accepted Payment Methods
- Bank transfer (wire/ACH)
- PayPal (3% processing fee applies)
- Stripe (credit/debit cards)
- Wise (international transfers)
Payment Schedule
- Payment Terms: Net 15 (due within 15 days of invoice)
- Late Payment: 5% late fee after 30 days overdue
- Severely Overdue: 1.5% monthly interest after 60 days + collection costs
- Work Stoppage: All work pauses if payment is 30+ days overdue

The website will NOT be launched, transferred, or made accessible until final payment is received in full. We reserve the right to remove the website from our servers if payment remains outstanding.
Refund Policy
- Before Work Begins: Full refund minus 10% administrative fee
- After Work Begins: Partial refund based on work completed (to be determined case-by-case)
- After Delivery: No refunds (bug fixes covered under warranty)
- Dispute: If disputed, neutral third-party assessment determines refund amount
Project Timeline & Delivery
Standard Timelines
- Simple Website (5-10 pages): 2-3 weeks
- Standard Website (10-20 pages): 3-4 weeks
- E-Commerce Store (50+ products): 4-6 weeks
- Custom Web Application: 6-12 weeks
- Website Redesign: 2-4 weeks
Timeline starts from: Receipt of deposit + all required materials (content, images, branding)
Timeline Extensions
Timeline may be extended due to:
- Client delays in providing feedback, content, or approvals
- Scope changes or additional feature requests
- Third-party delays (hosting, domain, APIs, integrations)
- Force majeure events (natural disasters, pandemics, war)

Timeline Guarantee
We commit to meeting agreed timelines when clients provide timely feedback (within 48 hours of requests). Delays in client feedback extend the timeline proportionally.
Rush Projects
- Rush Fee: +50% for delivery in 50% of standard time
- Urgent Fee: +100% for delivery in 25% of standard time
- Subject to Availability: Rush projects accepted only when resources permit
Client Responsibilities
For successful project completion, clients are responsible for:
Content & Materials
- Providing all text content, images, videos, and media
- Ensuring content is original or properly licensed
- Proofreading and approving all content before launch
- Providing branding materials (logos, color schemes, fonts)
Communication & Feedback
- Responding to emails/messages within 48 hours
- Providing clear, consolidated feedback
- Attending scheduled meetings/calls
- Designating a single point of contact for the project
Technical Requirements
- Providing hosting account access (if needed)
- Registering and managing domain name
- Ensuring hosting meets minimum requirements (we can advise)
- Installing SSL certificates (we assist)
Legal Compliance
- Ensuring all content complies with copyright laws
- Obtaining necessary licenses for images, fonts, plugins
- Complying with data protection laws (GDPR, CCPA)
- Creating privacy policy and terms of service for their website
โ ๏ธ Client-Provided Content
Websloop is NOT responsible for copyright infringement, defamation, or legal issues arising from client-provided content. Client agrees to indemnify Websloop against any such claims.
Intellectual Property Rights
Client Ownership (Upon Full Payment)
After receiving full payment, the client owns:
- Final website code and files
- Custom graphics created specifically for the project
- Website content provided by the client
- The right to modify, distribute, and commercialize the deliverables
Websloop Retains Ownership Of
- Pre-existing Tools: Frameworks, libraries, templates, code snippets
- Development Methodologies: Our processes, workflows, and techniques
- Third-Party Assets: Licensed themes, plugins, stock images, fonts
- Reusable Components: Generic functions, utilities, boilerplate code
License Granted to Client
We grant you a perpetual, worldwide, non-exclusive license to use any Websloop-owned components integrated into your project.
Third-Party Licenses
- Client is responsible for purchasing licenses for premium themes/plugins
- We use GPL-licensed software (WordPress) per GPL requirements
- Stock images require proper licensing (we can assist)
Portfolio & Marketing Rights
- Websloop may showcase the completed project in our portfolio
- We may use project as a case study with client's approval
- We may include client logo on our website as a past client
- Clients may request anonymity; we will comply
Revisions & Change Requests
Included Revisions
Standard packages include 3 rounds of revisions at each major milestone:
- Design mockup phase
- Development phase
- Pre-launch review
What Counts as a Revision Round
- One consolidated set of feedback submitted together
- Minor adjustments (colors, fonts, spacing, text edits)
- Refinements to existing approved elements
Additional Revisions
- Rate: $100/hour (billed in 15-minute increments)
- Applies to: Revisions beyond the 3 included rounds
- Estimate Provided: We'll provide time estimate before proceeding
Scope Changes (Not Revisions)
The following are considered scope changes and require separate pricing:
- Adding new pages or sections
- Changing fundamental design direction after approval
- Integrating new third-party services or APIs
- Adding new features or functionality
- Requesting work beyond original proposal

Warranties & Post-Launch Support
30-Day Warranty
We provide 30 days of free post-launch support covering:
- Bug fixes (functionality not working as specified)
- Browser compatibility issues
- Mobile responsiveness problems
- Broken links or missing assets
- Server/hosting setup assistance
What's NOT Covered Under Warranty
- Content updates or changes
- New feature requests
- Design modifications
- Issues caused by client modifications
- Third-party plugin/theme updates
- Hosting or domain problems
- Issues from client's failure to maintain backups
Warranty Limitations
- No Warranty: If client modifies code or installs conflicting plugins
- Voids Warranty: Allowing third-party developers to modify our work
- Expires After: 30 days from official launch date
Post-Warranty Support (Paid)
After 30 days, we offer:
- Hourly Rate: $100/hour for ad-hoc support
- Monthly Retainer: From $300/month for ongoing maintenance
- Annual Plan: Discounted packages available

WEBSLOOP PROVIDES SERVICES "AS IS" WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
Limitation of Liability
Liability Cap
Websloop's total liability for any claim arising from or related to our services shall not exceed the total amount paid by the client for the specific project in question.
Excluded Damages
We are NOT liable for:
- Indirect Damages: Lost profits, revenue, business opportunities
- Consequential Damages: Reputational harm, business interruption
- Third-Party Claims: Issues arising from client's use of deliverables
- Data Loss: Client's failure to maintain backups
- Downtime: Hosting or domain-related outages
- Security Breaches: Client's failure to update software/passwords
No Guarantee of Results
- We do NOT guarantee specific SEO rankings or traffic levels
- We do NOT guarantee specific sales or conversion rates
- We do NOT guarantee compatibility with all future browsers/devices
- We do NOT guarantee uninterrupted website operation
Client's Indemnification
Client agrees to indemnify and hold harmless Websloop from any claims, damages, or expenses arising from:
- Client-provided content (copyright, defamation, privacy violations)
- Client's use of the website for illegal purposes
- Client's modification of deliverables
- Client's failure to comply with applicable laws
Termination & Refund Policy
Termination by Client
Client may terminate the project at any time with written notice. Refund calculated as:
- Before Work Begins: Full refund minus 10% administrative fee
- Work in Progress: Refund of unused portion based on % completion
- After Approval of Phase: No refund for completed/approved phases
- Near Completion (90%+): No refund; final payment still due
Termination by Websloop
We reserve the right to terminate if:
- Client is 60+ days overdue on payment
- Client provides fraudulent information
- Client requests illegal or unethical work
- Client is abusive or unprofessional
- Project requirements become illegal under new laws
Upon our termination: Partial refund based on work completed; completed work may be delivered at our discretion.
Abandoned Projects
If client fails to respond for 60 consecutive days:
- Project considered abandoned
- No refund of deposit
- Incomplete work deleted from our servers
- Client may re-engage by paying reactivation fee
Confidentiality
Mutual Non-Disclosure
Both parties agree to keep confidential information secret, including:
- Business plans and strategies
- Financial information
- Customer data
- Proprietary processes or methods
- Login credentials and access codes
Exceptions to Confidentiality
Confidentiality does NOT apply to information that:
- Is publicly available
- Was independently developed
- Is required by law to be disclosed
- Was known prior to the agreement
Duration
Confidentiality obligations survive for 3 years after project completion.
Dispute Resolution
Good Faith Negotiation
Any disputes will first be addressed through good-faith negotiation between parties.
Mediation
If negotiation fails, parties agree to mediation before pursuing litigation.
Arbitration
If mediation fails, disputes will be resolved through binding arbitration:
- Location: Neutral location agreed by both parties
- Language: English
- Costs: Split equally unless arbitrator decides otherwise
- Decision: Binding and final
Governing Law
This agreement is governed by the laws of Pakistan (for our headquarters) or the client's jurisdiction (for international clients), as applicable.
No Class Action
Client agrees to resolve disputes individually, not as part of a class action.
General Provisions
Entire Agreement
These Terms of Service, together with the signed proposal/quote, constitute the entire agreement between parties.
Amendments
We may update these terms at any time. Clients will be notified of material changes. Continued use after changes constitutes acceptance.
Severability
If any provision is found invalid, the remaining provisions remain in full force.
No Waiver
Failure to enforce any term does not waive our right to enforce it later.
Assignment
Client may not assign this agreement without our written consent. We may assign to affiliated entities.
Force Majeure
Neither party is liable for delays due to circumstances beyond reasonable control (natural disasters, war, pandemics, government actions).
Independent Contractors
Websloop is an independent contractor, not an employee or partner of the client.
